End User License Agreement
Definitions
Coredination: Coredination AB.
Service: The Coredination web service and related interfaces.
Software: Client applications used to access the Service.
Customer: The organization or person subscribing to the Service.
User: Any person authorized by the Customer to use the Service.
License
Coredination grants the User a limited, non-exclusive, non-transferable license to access and use the Service and Software solely for lawful business purposes in accordance with this Agreement.
Intellectual Property
All intellectual property rights in the Service and Software, including text, graphics, software components, interfaces, and documentation, remain the exclusive property of Coredination.
Customer Content
Customers and Users are responsible for all content uploaded or transmitted through the Service. Coredination is not responsible for customer-generated content.
Data Protection and GDPR
Coredination processes personal data in accordance with applicable data protection legislation including the EU General Data Protection Regulation (GDPR).
Where the Customer uploads or processes personal data within the Service, the Customer acts as Data Controller and Coredination acts as Data Processor.
The following sections constitute the parties’ Data Processing Agreement (DPA).
Categories of Personal Data
Typical personal data processed may include:
• names
• email addresses
• phone numbers
• job-related information
• location data (if enabled)
Categories of Data Subjects
• employees
• contractors
• service personnel
• users of the Customer’s organization
Processor Obligations
Coredination shall:
• process personal data only on documented instructions from the Controller
• ensure confidentiality of personnel processing personal data
• implement appropriate technical and organizational security measures
• assist the Controller in fulfilling GDPR obligations
Sub-processors
Coredination may engage trusted third-party providers and sub-processors for operation and support of the Service, including:
• Amazon Web Services (AWS) – cloud hosting and infrastructure
• SendGrid – system email delivery
• Zendesk – customer support and ticket management
Sub-processors are contractually obligated to maintain confidentiality and appropriate security measures in accordance with GDPR and applicable data protection legislation.
Zendesk is only used in relation to customer support and support cases and is not used for operational customer data processing within the core Coredination Service.
Security Measures
Coredination implements appropriate safeguards including:
• encrypted communication
• secure infrastructure
• access control and authentication
• monitoring and logging
Data Breach Notification
Coredination will notify the Controller without undue delay after becoming aware of a personal data breach affecting Customer data.
Data Retention and Deletion
Upon termination of the Service, personal data will be deleted or anonymized within a reasonable period unless retention is required by law.
Aggregated and Anonymized Data
Coredination may use anonymized or aggregated data derived from the Service for service improvement, analytics, benchmarking, product development, automation, algorithms, and machine learning functionality, provided that such data cannot identify any individual person or specific customer.
Artificial Intelligence
The Service may include functionality based on artificial intelligence, machine learning, or automated analysis designed to improve workflows, system performance, and operational insights.
Such processing is conducted in accordance with applicable data protection laws.
International Transfers
If data is transferred outside the EU/EEA, appropriate safeguards such as Standard Contractual Clauses (SCCs) will be implemented.
Payment Terms
Customers are billed according to their subscription agreement. Failure to pay may result in suspension of the Service.
Limitation of Liability
Coredination shall not be liable for indirect damages, loss of profit, business interruption, or data loss resulting from the use of the Service.
Termination
Either party may terminate the Agreement according to the subscription terms. Upon termination, access to the Service may be revoked.
Force Majeure
Coredination is not liable for failure to perform obligations caused by events outside its reasonable control.
Audit Rights
The Customer may request information demonstrating compliance with this Agreement and applicable data protection laws.
Governing Law
This Agreement shall be governed by Swedish law.
